What is Governance?
Governance is the way people organize to decide how things are to be done. For a planned community like Princeville, much of this organizational structure is defined by documents created by the original developer and by local, state, and federal law.
Understanding how PHCA is governed is critical to the long-term success of our community. These documents are the "roadmaps" that community leaders and managers use to navigate the decision-making process.
Most residents are attracted to Princeville for its beauty and well-maintained character — which exists because of the rules and structure put in place by our governing documents. This page provides an overview of how PHCA operates and where to find the official documents that guide our community.
Governing Documents
PHCA operates under the following governing documents. All owners are expected to be familiar with these documents and comply with their provisions.
PHCA Charter of Incorporation
Date: March 1971
Establishes the Princeville at Hanalei Community Association as the non-profit governing body for the Community.
PHCA Community Rules
Date: March 2025
These rules are a refinement of the limitations and restrictions defined in the PHCA Protective Covenants. They can be modified by a majority vote of the Board of Directors.
PHCA Bylaws
Date: March 1971
Defines PHCA membership, voting rights, Board of Directors' powers and duties, annual meetings, board meetings, and more.
CDC Architectural Rules
Date:
Rules pertaining to architecture and landscaping for all lots. A refinement of the original Protective Covenants. Can be modified by majority vote of the CDC.
PHCA Protective Covenants
Date: March 1971
Defines land classification, restrictive covenants, landscaping controls, CDC authority, assessments, and other provisions. Can only be changed by a 75% vote of the entire membership.
Multi-Family Unit Architectural Guidelines
Date: May 1990
Additional rules that pertain to multi-family lots only. Can be modified by a majority vote of the CDC.
Additional Legal Framework
PHCA also operates under Hawaii state law:
• Hawaii Revised Statutes - Chapter 421J: Planned Community Associations
• Hawaii Revised Statutes - Chapter 414D: Non-Profit Corporations Act
Board of Directors
The PHCA Board of Directors is composed of five elected members who serve staggered three-year terms. The Board is responsible for:
• Setting Association policy and strategic direction
• Approving the annual budget and major expenditures
• Overseeing the General Manager and staff
• Enforcing governing documents and community rules
• Representing the interests of all PHCA members
Board meetings are held monthly and are open to PHCA members. Elections are held annually on the fourth Saturday of October.
Committees
PHCA operates several standing committees to support the Board and address community needs. Committees are composed of volunteer members and provide recommendations to the Board.
Active committees include the Community Design Committee (CDC), Infrastructure Committee, Parks & Recreation Committee, and others.
Financial Management & Audits
PHCA maintains transparent financial management practices to ensure responsible stewardship of member assessments.
Annual Budget
The Board approves an annual operating budget covering staff, maintenance, community services, and capital projects. The budget is available to all members.
Independent Audits
PHCA conducts annual independent audits to ensure financial accuracy and compliance. Audit reports are available to members upon request.
Assessment Collection
Member assessments fund the Association's operations. Payment schedules and methods are outlined in member communications.
Member Rights & Responsibilities
As a member of PHCA, you have certain rights and responsibilities under Hawaii law and the Association's governing documents.
Member Rights:
• Vote in Board elections and on special assessments
• Attend Board meetings (members only)
• Access Association records and financial documents
• Participate in committees and community activities
• Appeal enforcement actions
Member Responsibilities:
• Pay assessments on time
• Comply with CC&Rs, Bylaws, and community rules
• Obtain CDC approval before making exterior changes
• Maintain your property in good condition
• Respect common areas and fellow members
